Welcome to Vocus AI. These Terms of Service ("Terms") govern your access to and use of the Vocus AI website, dashboard, and related services (collectively, the "Service"). By creating an account, signing in, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Who we are
Vocus AI is a product owned and operated by Sonia Labs Inc. ("Sonia Labs", "we", "us", or "our"), a company reachable at sonialabsinc.com and hi@sonialabsinc.com. We provide an AI-powered voice receptionist service for real estate teams and other businesses that rely on inbound phone calls. The Service answers calls on your behalf, responds to callers based on the knowledge base you configure, books appointments, and logs conversation transcripts and summaries in your dashboard.
2. Eligibility and accounts
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. When you create an account, you agree to:
- Provide accurate, current, and complete information.
- Keep your account credentials confidential and secure.
- Be responsible for all activity that occurs under your account, whether or not you authorized it.
- Notify us immediately if you suspect any unauthorized access to your account.
3. The service
Vocus provides an AI agent that you configure through your dashboard. You are responsible for:
- The content and accuracy of the knowledge base, scripts, prompts, and instructions you provide to the agent.
- Ensuring that the phone number associated with your account is one you have the legal right to use.
- Complying with all applicable call-recording, consent, and telecommunications laws in the jurisdictions where you operate and where your callers are located.
- The actions the agent takes on your behalf — including booking appointments, sending messages, and dispatching third-party vendors.
4. Pricing and billing
Access to the Service is provided on a subscription basis. The current subscription price is $19.99 USD per month, billed in advance. By subscribing, you authorize us (and our payment processor) to charge your payment method on a recurring monthly basis until you cancel.
We may change subscription prices from time to time. If we change the price of your subscription, we will notify you in advance. The new price will apply to the next billing cycle following the notice period. If you do not agree to the new price, you may cancel before it takes effect.
5. Cancellation
You may cancel your subscription at any time from the billing section of your dashboard. Cancellation takes effect at the end of your current billing period. Consistent with Section 4, no prorated refund or credit will be issued for any remaining portion of the billing period.
6. Acceptable use
You agree not to use the Service to:
- Break any law, regulation, or court order, or infringe on anyone else's rights.
- Place or facilitate unlawful, harassing, deceptive, or fraudulent calls.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Upload knowledge-base content that is unlawful, defamatory, infringing, or that you do not have the right to share.
- Attempt to reverse engineer, probe, or interfere with the Service, or use it to build a competing product.
- Transmit viruses, malware, or any other code designed to harm or disrupt systems.
We reserve the right to suspend or terminate your account — with or without notice — if we reasonably believe you have violated these Terms.
7. Your content
You retain ownership of the content you upload to the Service, including your knowledge-base documents, agent instructions, and call recordings ("Your Content"). By uploading Your Content, you grant us a limited, worldwide, non-exclusive license to host, process, and display it for the sole purpose of operating and improving the Service for you.
8. Call recordings and transcripts
The Service records and transcribes inbound calls so that you can review, search, and analyze them in your dashboard. You are solely responsible for ensuring that your use of recording and transcription complies with the laws that apply to you and your callers — including any obligation to notify or obtain consent from callers before recording them. We provide tools and guidance, but the legal responsibility rests with you.
9. Availability
We work hard to keep the Service running reliably, but we do not guarantee uninterrupted or error-free availability. The Service may experience downtime due to maintenance, infrastructure issues, or events beyond our reasonable control. We will make commercially reasonable efforts to minimize disruptions and to notify you of planned maintenance where feasible.
10. Third-party services
The Service integrates with third-party platforms (for example, calendar providers) at your direction. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, accurate, or error-free, or that any defects will be corrected.
12. Limitation of liability
To the fullest extent permitted by applicable law, Vocus and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, goodwill, data, or business opportunities — arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
In no event will our aggregate liability for any claim arising out of or relating to the Service exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Vocus and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (i) Your Content, (ii) your use of the Service, (iii) your violation of these Terms, or (iv) your violation of any law or the rights of a third party.
14. Changes to the service or these terms
We may modify the Service and these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use after the changes take effect constitutes your acceptance of the updated Terms.
15. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately, and any provisions of these Terms that by their nature should survive termination will survive.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which Vocus AI is established, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any dispute arising out of or relating to these Terms or the Service.
